Independent Contractor Service Agreement & Non-Disclosure Agreement

This Agreement is entered into by and between Blue Diamond 3D Solutions LLC (“Company”) and the undersigned independent service technician (“Technician”).

In consideration of the mutual promises contained herein and the opportunity to receive service assignments from the Company, the parties agree as follows:

1. Professional Representation and Conduct

• Company Representation: While performing services on any assigned site, the Technician acts as a representative of Blue Diamond 3D Solutions.
• Site Introduction: Upon arrival at any client location, the Technician must explicitly introduce themselves to site management as a “Blue Diamond 3D Solutions Technician.”
• Professional Conduct: The Technician agrees to maintain a high standard of professionalism, wear appropriate work attire, and conduct themselves in a courteous and efficient manner at all times while on-site.

2. On-Site Operational & Check-In Protocol

To ensure accurate documentation and authorization, the Technician must strictly adhere to the following workflow for every dispatch:

• Arrival & Check-In: Immediately upon arriving at the site, the Technician must check in with the site administration or manager on duty and notify Blue Diamond 3D Solutions dispatch.
• Before Photos: Before commencing any work, the Technician must take clear “before” photos documenting the reported issue.
• Assessment & Approval: The Technician must communicate the diagnosis and situation to Blue Diamond 3D Solutions. No work is to proceed until a clear course of action and the final service cost/rate are mutually agreed upon and authorized by the Company.
• In-Progress Documentation: The Technician must take at least one (1) photo documenting the work in progress.

3. Work Completion and Same-Day Payment Processing

• After Photos: Upon completing the repair, the Technician must take clear “after” photos showing the resolved issue.
• On-Site Sign-Off: The Technician must obtain a written sign-off confirming completion of the work before leaving the site. This sign-off must include the Store Manager’s printed name and signature. If the Store Manager is unavailable or absent, any authorized store employee on duty may provide their printed name, job title, and signature to verify completion.
• Payment Trigger: All completion materials (after photos, communication logs, and the signed completion form) must be submitted immediately to Blue Diamond 3D Solutions. Once all verified steps are completed, the Company will process the Technician’s payment for the job on the same business day.

4. Non-Disclosure, Non-Solicitation, and Confidentiality

• Confidentiality of Pricing: The Technician shall keep all financial arrangements, service rates, and payment terms between themselves and Blue Diamond 3D Solutions strictly confidential. The Technician is strictly prohibited from discussing pay, rates, or pricing with any client, store employee, or personnel on the service site.
• Non-Solicitation of Clients: The Technician explicitly agrees not to directly or indirectly circumvent Blue Diamond 3D Solutions. The Technician may not solicit, accept, or perform direct work for any client, facility, or site to which they were dispatched by the Company, nor may they offer their personal or independent business contact information to the client for direct hiring.
• Breach of Covenant: Any attempt to solicit direct work or disclose confidential pricing will result in immediate termination of this Agreement, withholding of pending payments to the extent permitted by law, and legal remedies for breach of contract.

5. Future Work Opportunities

Performance Metrics: Blue Diamond 3D Solutions prioritizes quality, communication, and procedural compliance. Consistently following all steps outlined in this agreement — including prompt check-ins, thorough photo documentation, and professional conduct — will directly qualify the Technician for a higher volume of priority dispatches and future job opportunities.

Acknowledgment

By signing below, the Technician acknowledges that they have read, understood, and agree to abide by all the operational protocols, confidentiality rules, and terms outlined in this Agreement.
